By accessing or using any services provided by Agentic Assets LLC ("Company," "we," "us," or "our"), including but not limited to our Orbis™ AI platform, custom AI agent development, consulting services, and related software applications (collectively, the "Services"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

2.1 Core Services

Agentic Assets provides:

• Orbis™ Platform: AI Retrieval-Augmented Generation (RAG) agent with access to curated commercial real estate databases
• Custom AI Agent Development: Bespoke AI-powered workflows and automation tools
• AI Consulting Services: Strategic consulting for AI implementation in commercial real estate
• Agent-as-a-Service (AaaS): Subscription-based access to AI agents and tools

2.2 Service Tiers

• Basic Tier: Starting at $99/month - Access to core Orbis™ functionality
• Advanced Tier: Starting at $499/month - Enhanced features and priority support
• Enterprise/Custom: Tailored solutions with custom pricing

2.3 Target Applications

Our Services are designed specifically for commercial real estate applications including:

• Property valuations and market analysis
• Predictive analytics and forecasting
• Lead generation and workflow optimization
• Transaction processing and due diligence support

3. Account Registration and Security

3.1 Account Creation

To access certain Services, you must create an account with accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activities under your account.

3.2 Authorized Users

You may designate authorized users within your organization to access the Services under your account, subject to the terms of your subscription plan.

3.3 Security Obligations

You agree to:

• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorized access
• Use reasonable security measures to protect your account

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our Services only for:

• Legitimate commercial real estate business purposes
• Compliance with applicable laws and regulations
• Activities consistent with our mission of productivity augmentation

4.2 Prohibited Uses

You may not:

• Use the Services for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or extract underlying algorithms
• Share account credentials with unauthorized third parties
• Input false, misleading, or fraudulent data
• Use the Services to compete directly with Agentic Assets
• Overload or attempt to disable our systems through excessive requests

5. Data and Privacy

5.1 Data Ownership

You retain ownership of all data you input into our Services ("Client Data"). We claim no ownership rights in Client Data.

5.2 Data Use License

You grant us a limited, non-exclusive license to use Client Data solely for:

• Providing and improving the Services
• Generating insights and reports for your benefit
• Ensuring system security and performance

5.3 Data Protection

We implement industry-standard security measures to protect Client Data, including:

• Encryption in transit and at rest
• Access controls and authentication protocols
• Regular security audits and monitoring
• Compliance with applicable data protection regulations

5.4 Data Retention

We will retain Client Data for the duration of your subscription plus 30 days, unless otherwise specified in a separate agreement or required by law.

6. Intellectual Property

The Services, including Orbis™ and all underlying technology, algorithms, and methodologies, are protected by intellectual property laws. We retain all rights, title, and interest in our intellectual property.

6.2 Custom Development

For custom AI agents and workflows developed specifically for you:

• You receive a perpetual, non-exclusive license to use the deliverables
• We retain rights to underlying methodologies and general approaches
• Specific terms will be outlined in separate development agreements

6.3 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide regarding our Services may be used by us without obligation or compensation to you.

7. Payment Terms

7.1 Subscription Fees

• Subscription fees are billed monthly or annually in advance
• All fees are non-refundable except as expressly stated herein
• Prices are subject to change with 30 days' notice

7.2 Consulting Fees

Custom consulting and development projects are subject to separate statements of work with specific payment terms.

7.3 Late Payments

Late payments may result in service suspension after 10 days' notice. A service restoration fee may apply.

7.4 Taxes

You are responsible for all applicable taxes related to your use of the Services.

8. Service Availability and Support

8.1 Uptime Commitment

We strive to maintain 99.5% uptime for our SaaS offerings, excluding scheduled maintenance.

8.2 Support Levels

• Basic Tier: Email support with 48-hour response time
• Advanced Tier: Priority email support with 24-hour response time
• Enterprise: Dedicated support as specified in service agreements

8.3 Maintenance

We may perform scheduled maintenance with reasonable advance notice.

9. Disclaimers and Limitations

9.1 Service Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI-Specific Disclaimers

• AI-generated insights are based on available data and algorithms
• Results should be verified and validated for critical decisions
• We do not guarantee the accuracy or completeness of AI outputs
• Human oversight and professional judgment remain essential

9.3 Limitation of Liability

IN NO EVENT SHALL AGENTIC ASSETS LLC BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• DAMAGES EXCEEDING THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM

10. Indemnification

You agree to indemnify and hold harmless Agentic Assets LLC from any claims, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your infringement of third-party rights
• Any Client Data you provide

11. Term and Termination

11.1 Term

These Terms remain in effect while you use our Services.

11.2 Termination by You

You may terminate your account at any time with 30 days' written notice. No refunds will be provided for prepaid subscription fees.

11.3 Termination by Us

We may terminate or suspend your access immediately for:

• Violation of these Terms
• Non-payment of fees
• Suspected fraudulent or illegal activity

11.4 Effect of Termination

Upon termination:

• Your access to the Services will cease
• We will provide Client Data export capabilities for 30 days
• All payment obligations remain in effect

12. Compliance and Ethics

12.1 Regulatory Compliance

You agree to use the Services in compliance with all applicable laws, including:

• Real estate regulations and licensing requirements
• Data protection and privacy laws
• Financial services regulations where applicable

12.2 Ethical AI Use

In line with our mission of human augmentation rather than replacement, you agree to:

• Use AI outputs to enhance human decision-making
• Maintain appropriate human oversight
• Consider the broader impact of AI-driven decisions

13. Modifications

We may modify these Terms at any time by posting updated terms on our website. Continued use of the Services after modifications constitutes acceptance of the new Terms.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of Oklahoma, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes will be resolved through:

1. Good faith negotiation
2. Binding arbitration if negotiation fails
3. Courts of Oklahoma for injunctive relief only

15.1 Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Agentic Assets LLC.
